KEY Take Away of Active Form INC-22A
1. It’s a one time form to be filed by Companies existing on or before 31.12.2017.
2. The following companies are exempted from filing:
– Struck off
– Amalgamated
– Dissolved
– Or are in the process of strike off/ amalgamation
– Companies under management dispute and the same has been recorded by the Registrar
3. No government fees to be paid if the form is filed on or before the 25th of April, 2019 and is approved immediately upon successful filing and the same is intimated through the Email mentioned in the Form.
4. Things to be taken care of:
– Email id of the Company mentioned should be valid and email verification otp will be sent on the said email id.
– Necessary forms for appointment of Statutory Auditor, Cost Auditor, Managing Director, Chief Financial Officer, Whole-time Director, Chief Executive Officer and Company Secretary are duly filed with the ROC.
– DIN of all the directors of the Company should be Active.
– Latitude and Longitude mentioned in the form should match with the details reflecting in the photos of the Director attached.
– Wrong certification by the Director/KMP will attract penalty under Section 448 and 449 of the Companies Act, 2013.
5. Consequences of non-filling will attract:
– Status of the Company will change to Active Non- Compliant
– Company will not be able to file FORM PAS-3, SH-7, DIR-12, INC-22 and INC-28 unless ACTIVE form is filed
– Payment of Rs. 10,000/- as government fees.
