The composition in the Board of Directors can be changed either by

  • Resignation

However, Board can also appoint additional director, who shall hold office from the conclusion of the Board meeting till the forthcoming Annual general meeting unless ratified by the Shareholders.Further, in case any director intending to resign from the directorship of any company, then he/ she may do so, by providing proper resignation letter to the Board of Director of the Company. Thereafter, E-form DIR-12 form is required to be filed with ROC within 30 days from the date of change of Composition.
